END USER LICENSE AGREEMENT

These Terms of Use ("Terms," "Agreement," or "EULA") constitute a legally binding agreement between you ("User," "you," or "your") and Mimona Ltd ("Company," "we," "our," or "us") regarding your use of the Pnalyze web application and related services ("Platform," "App," or "Service"). By accessing, registering for, or using the Pnalyze Platform, you acknowledge that you have read, understood, and agree to be bound by these Terms. If you do not agree to these Terms, do not access, register for, or use the Platform.

Please note that Mimona Ltd is currently in the process of registration, and these Terms will be updated once the company registration is complete.
Pnalyze is a cryptocurrency trading analytics platform that provides users with tools to connect cryptocurrency exchange accounts via read-only API keys, to view and analyze trading history, profit and loss (PnL) metrics, and portfolio performance, to access AI-powered insights and analytics about trading patterns, to visualize equity curves, portfolio distribution, and trading statistics, and to access subscription-based premium features that enhance the analytics experience.
The Platform integrates with third-party cryptocurrency exchanges (such as Binance) using API keys that you provide. We only request and use read-only API permissions, meaning we cannot execute trades, withdraw funds, or modify your exchange account in any way. The Platform is designed solely for analytics and informational purposes.
We reserve the right to modify, suspend, or discontinue any part of the Platform at any time, with or without notice. We are not liable to you or any third party for any modification, suspension, or discontinuation of the Service, but we will make reasonable efforts to provide notice of significant changes when possible.
To use the Platform, you must create an account by providing a valid email address, a secure password, and any other information requested during registration. You must verify your email address before accessing the full features of the Platform. You are responsible for maintaining the confidentiality of your account credentials, for all activities that occur under your account, and for notifying us immediately of any unauthorized use of your account. We are not liable for any loss or damage arising from your failure to protect your account information.
You represent and warrant that: (1) You are at least 18 years of age; (2) You have the legal capacity to enter into this Agreement; (3) You will comply with all applicable laws and regulations, including those related to cryptocurrency trading in your jurisdiction; (4) All information you provide is accurate and current; (5) You have the legal right to connect any exchange accounts you link to the Platform.
We reserve the right to suspend or terminate your account at any time, with or without cause or notice, for any reason, including but not limited to violation of these Terms, fraudulent or abusive activity, non-payment of subscription fees, or extended periods of inactivity. We will make reasonable efforts to provide notice of termination when possible, except in cases where immediate termination is necessary to protect the security or integrity of the Platform or other users.
The Platform allows you to connect your cryptocurrency exchange accounts by providing API keys. By connecting your exchange account, you acknowledge and agree that:

WE DO NOT PROVIDE FINANCIAL ADVICE, TRADING SIGNALS, OR INVESTMENT RECOMMENDATIONS. ANY TRADING DECISIONS YOU MAKE ARE YOUR SOLE RESPONSIBILITY.
Subject to your compliance with these Terms, we grant you a limited, non-exclusive, non-transferable, non-sublicensable, revocable license to access and use the Platform for your personal, non-commercial use, and to use the Platform in accordance with these Terms and applicable laws.

All rights, title, and interest in and to the Platform, including all intellectual property rights, are owned by Mimona Ltd or its licensors. The Platform is protected by copyright, trademark, and other laws. Nothing in these Terms grants you any right to use our trademarks, logos, or other proprietary information without our prior written consent.
The Platform displays trading data, analytics, and calculations based on information retrieved from your connected exchange accounts. You acknowledge and agree that:
You should always verify important financial information directly with your exchange and should not rely solely on the Platform for tax reporting, financial decisions, or any other purposes where accuracy is critical.
The Platform offers both free and premium subscription tiers. Free tier users have access to basic features with certain limitations. Premium subscription features, pricing, and terms are displayed on the Platform and may change at any time.
Payments are processed through third-party payment processors (such as Paddle). You agree to pay all fees associated with your subscription. All prices are displayed in the applicable currency and may vary by region.
Subscriptions automatically renew unless cancelled before the renewal date. You will be charged at the beginning of each subscription period. You can cancel your subscription at any time through the Platform settings, and cancellation takes effect at the end of the current billing period. All subscription fees are non-refundable, except as required by law or as specified in our refund policy.
We reserve the right to change subscription prices at any time. Price changes will not affect your current subscription period but will apply to subsequent renewals. We may offer free trial periods, and if you do not cancel before the trial ends, you will be charged for the subscription.
You may terminate your account at any time by deleting your account through the Platform settings or by contacting us at support@pnalyze.com. Upon termination, your access to the Platform will be revoked, your account and data will be deleted in accordance with our Privacy Policy (within 30 days), and you will not receive a refund for any unused subscription period.
We may suspend or terminate your account immediately, with or without notice, if you violate these Terms, engage in fraudulent or abusive activity, fail to pay subscription fees, or violate any applicable laws or regulations.
Upon termination, your license to use the Platform is revoked, you must stop using the Platform, and all provisions that by their nature should survive termination will survive, including Sections 4 (Exchange Account Connections), 9 (Disclaimers), 10 (Limitation of Liability), and 11 (Indemnification).
THE PLATFORM IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, OR ACCURACY, RELIABILITY, OR COMPLETENESS OF DATA OR CONTENT.
WE DO NOT WARRANT THAT THE PLATFORM WILL BE UNINTERRUPTED, ERROR-FREE, OR SECURE, THAT DATA DISPLAYED WILL BE ACCURATE OR COMPLETE, THAT PNL CALCULATIONS WILL REFLECT YOUR ACTUAL TRADING PERFORMANCE, OR THAT THE PLATFORM WILL MEET YOUR EXPECTATIONS.
We do not provide financial advice, trading recommendations, or investment guidance. The Platform is a tool to help you analyze your trading history, but any decisions you make based on this information are your sole responsibility.
We are not responsible for third-party services, exchanges, or APIs that the Platform integrates with. Your use of third-party services is subject to their own terms and conditions and privacy policies.
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, MIMONA LTD SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, LOSS OF PROFITS, REVENUE, DATA, OR USE, BUSINESS INTERRUPTION, TRADING LOSSES OR MISSED TRADING OPPORTUNITIES, PERSONAL INJURY OR PROPERTY DAMAGE, OR ANY DAMAGES ARISING FROM YOUR USE OR INABILITY TO USE THE PLATFORM.
OUR TOTAL LIABILITY FOR ANY CLAIMS ARISING FROM OR RELATED TO THE PLATFORM SHALL NOT EXCEED THE AMOUNT YOU PAID TO US IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM, OR $100, WHICHEVER IS GREATER.
Some jurisdictions do not allow the exclusion or limitation of certain damages, so some of the above limitations may not apply to you. However, to the extent permitted by applicable law, our liability is limited as described above.
You agree to indemnify, defend, and hold harmless Mimona Ltd, its officers, directors, employees, agents, and licensors from and against any claims, liabilities, damages, losses, costs, or expenses (including reasonable attorneys' fees) arising from your use of the Platform, your violation of these Terms, your violation of any rights of another party, your trading activities or use of connected exchange accounts, or any inaccurate information you provide.
This indemnification obligation will survive the termination of your account and your use of the Platform.
These Terms are governed by and construed in accordance with the laws of the State of Israel, without regard to its conflict of law provisions. Any disputes arising from or related to these Terms or the Platform shall be subject to the exclusive jurisdiction of the courts of Israel.
Before filing a claim, you agree to contact us at support@pnalyze.com to attempt to resolve the dispute informally. If informal resolution is unsuccessful, disputes may be resolved through binding arbitration in accordance with Israeli arbitration laws, unless both parties agree otherwise.
We may update these Terms from time to time to reflect changes in our practices, technology, legal requirements, or other factors. We will notify you of material changes by posting the updated Terms on our website at pnalyze.com, by sending you an email notification, and by displaying a notice in the Platform.
The "Last Updated" date at the top of these Terms indicates when they were last revised. Your continued use of the Platform after any changes constitutes acceptance of the updated Terms. If you do not agree with any changes, you may stop using the Platform and request deletion of your account.

YOU ALSO ACKNOWLEDGE THAT PNALYZE IS AN ANALYTICS TOOL ONLY AND IS NOT RESPONSIBLE FOR YOUR TRADING ACTIVITIES, EXCHANGE ACCOUNTS, OR ANY FINANCIAL LOSSES YOU MAY INCUR.
